These Terms of Service ("Terms") form a binding agreement between you and [Company Legal Name] ("we," "us," or "our"). By creating an account or otherwise using the SubCRM platform and related services (the "Services") you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account.

You agree to provide accurate registration information and to keep it current. We may suspend or terminate accounts that contain false or misleading information.

2. Acceptable use

You may not use the Services to:

  • Violate any applicable law, regulation, or third-party right.
  • Attempt to gain unauthorized access to any account, system, or data, or interfere with the integrity of the Services.
  • Submit malicious code, conduct denial-of-service attacks, scrape, or otherwise abuse the platform.
  • Process payment data through methods not contemplated by the Services or in violation of card-network rules.
  • Engage in fraudulent transactions, money-laundering, or knowingly accept payments from sanctioned parties.

3. Subscriptions, payments, and renewals

Where you subscribe to a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel. Subscription fees, billing cycle, and renewal cadence are presented at checkout and on your subscription detail page in the customer portal.

Failed renewal payments may be retried under our salvage schedule. Repeated failures will result in subscription suspension and, after a reasonable period, cancellation.

4. Refunds and cancellations

You may cancel a subscription at any time from the customer portal. Cancellations take effect at the end of the then-current billing period unless we expressly indicate otherwise.

Refund eligibility depends on the product or service purchased and the law of your jurisdiction. For digital deliveries already consumed, refunds may be denied. For shipped goods, refunds are subject to our returns process. We will issue refunds for duplicate charges and for charges made in error.

5. Chargebacks

If you dispute a charge with your bank or card network without first contacting us, we may suspend or terminate your account, retain related order amounts pending dispute outcome, and treat the loss as a non-refundable balance. 6. Intellectual property

We retain all right, title, and interest in and to the Services, including all software, designs, trademarks, and content we provide. You retain rights to content you submit. By submitting content you grant us a non-exclusive, royalty-free license to host and process that content as necessary to operate the Services.

7. Third-party services

The Services rely on third-party providers (payment processors, fulfillment platforms, email providers, hosting, error monitoring). Their services are subject to their own terms. We are not responsible for outages or actions of third-party providers, except to the extent required by law.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold us harmless from claims arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

11. Termination

We may suspend or terminate your access to the Services at any time for breach of these Terms, suspected fraudulent activity, or as required by law. Sections that by their nature should survive termination will do so, including intellectual property, disclaimers, limitation of liability, indemnification, and governing-law provisions.

12. Governing law and dispute resolution
